Terms of Service

Terms governing use of Tokenizer.ca, MasteryExamPrep.com, Tokenizer-operated educational properties, and related product, support, consulting, institutional access, and business workflows.

Summary (not a substitute for the full Terms): Use Tokenizer sites and Mastery products for legitimate study, evaluation, or business inquiry use only. Do not copy or scrape question banks, redistribute premium material, or share confidential exam content. Purchases, subscriptions, team access, and custom work may follow the billing route or agreement tied to that specific offering.

1) Acceptance

By accessing or using Tokenizer sites, Mastery products, account flows, support workflows, or related services, you agree to these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Services.

2) Scope

Tokenizer Inc. ("Tokenizer", "we", "us") operates Tokenizer.ca, MasteryExamPrep.com, Tokenizer-operated educational sites, and related support, account, consulting, institutional access, and business workflows (collectively, the "Services").

How these Terms fit with other agreements

  • These Terms apply to general site and product use.
  • Institutional access, team deployments, consulting, sponsorship, or custom-development work may also be governed by a proposal, order form, statement of work, invoice terms, or data-processing addendum.
  • If a separate signed agreement conflicts with these Terms, the signed agreement controls for that specific engagement.

Tokenizer is independent and not affiliated with certification bodies, regulators, or standards owners unless a page explicitly says otherwise. Third-party names and marks belong to their respective owners.

3) Accounts

  • You must be at least 13 years old, or older where local law requires it, to use the Services.
  • You are responsible for keeping your account credentials secure and for activity under your account.
  • You must provide accurate information when creating an account or contacting us for support or access.

4) License & Permitted Use

We grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for your own study, internal evaluation, or legitimate business review of Tokenizer offerings.

  • You may read, browse, and use the material made available through the Services for the intended educational or evaluation purpose.
  • You may not copy, scrape, bulk-download, republish, resell, or redistribute question banks, explanations, guides, or portfolio content except where we expressly allow it.
  • You may not bypass access controls, abuse trial or free-tier limits, interfere with service integrity, or reverse engineer protected product functionality except where law clearly permits it.

5) Free Content, Paid Products & Separate Agreements

  • Free content: Tokenizer-operated guide sites and reference sites may provide free educational material, sample questions, glossaries, and articles.
  • Paid products: Mastery offerings may include paid access to larger question banks, progress features, analytics, sync, or institutional access capabilities.
  • Separate business engagements: consulting, institutional access, custom work, and sponsorship or partnership arrangements may be governed by separate commercial terms.

We may change content scope, free allowances, packaging, or feature availability over time.

6) Billing, Purchases & Refunds

  • Consumer products: purchases and subscriptions may be handled by a billing provider associated with the relevant product route. That provider's billing cycle, tax handling, and refund mechanics may also apply.
  • Institutional, consulting, and custom work: invoices, payment timing, renewal terms, and refund treatment are governed by the applicable quote, order form, statement of work, or invoice terms.
  • Pricing changes: we may change pricing prospectively. When required, we will provide notice through the relevant product, billing, or contract workflow.

7) User Content & Feedback

If you submit notes, flags, corrections, issue reports, comments, or feedback, you grant Tokenizer a worldwide, royalty-free license to use, reproduce, modify, and publish that material as needed to operate, improve, and support the Services. Do not submit confidential third-party material or real exam content you are not permitted to share.

8) Prohibited Conduct

  • Sharing, soliciting, or uploading confidential exam items, answer keys, or restricted source material.
  • Copying, scraping, bulk exporting, or redistributing Tokenizer content without permission.
  • Using bots, automation, malware, or abusive traffic patterns to interfere with sites, APIs, or account systems.
  • Violating laws, contractual restrictions, privacy rights, intellectual-property rights, or exam-provider rules.

9) Intellectual Property & Trademarks

Unless otherwise stated, Tokenizer or its licensors own the content, software, design, and product materials made available through the Services. No rights are granted except as expressly described in these Terms.

Third-party marks

Exam names, certification names, vendor names, and other trademarks remain the property of their owners. We use those marks nominatively to describe subject matter, compatibility, or coverage, not to imply affiliation or endorsement.

10) Third-Party Services & Links

The Services may integrate with or link to third-party tools and sites, such as payment services, analytics providers, cloud services, or external references. We are not responsible for third-party content, availability, terms, or policies.

11) Availability & Changes

We may add, remove, update, suspend, or discontinue any part of the Services at any time, including content libraries, free samples, features, or routes. We may also update these Terms and will revise the "Last updated" date when we do.

12) Disclaimers

Tokenizer content is provided for educational and informational purposes only. It is not investment, legal, tax, accounting, employment, or other professional advice. We do not guarantee exam results, certification outcomes, hiring decisions, or business outcomes.

As is / as available: to the maximum extent permitted by law, the Services are provided without warranties of any kind, express or implied.

13) Limitation of Liability

To the maximum extent permitted by law, Tokenizer and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, use, or goodwill arising from or related to the Services.

Nothing in these Terms excludes liability that cannot legally be excluded. Subject to that limit, Tokenizer's aggregate liability for a claim will not exceed the greater of CA$50 or the amount you paid to Tokenizer for the specific service giving rise to the claim during the six months before the claim arose.

14) Indemnification

You agree to defend, indemnify, and hold harmless Tokenizer and its affiliates from claims, losses, liabilities, damages, and costs, including reasonable legal fees, arising from your misuse of the Services, your content, or your breach of these Terms.

15) Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws principles. Unless mandatory local consumer law says otherwise, disputes will be resolved in the courts located in Ontario, Canada.

16) Termination

We may suspend or terminate access to the Services if you breach these Terms, misuse the Services, or create risk for Tokenizer, our users, or our partners. When access ends, your license to use the affected Services also ends.

17) Miscellaneous & Contact

  • Entire agreement: these Terms, together with the Privacy Policy and any applicable separate agreement, form the relevant agreement between you and Tokenizer.
  • Severability: if one provision is unenforceable, the rest remain in effect.
  • No waiver: a failure to enforce a provision is not a waiver of that provision.
  • Assignment: you may not assign these Terms without our consent; we may assign them to an affiliate or successor.
